By signing up for an account and using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.
1. Description of Service
RedScope provides an AI-powered platform designed to help businesses convert anonymous website visitors into consented leads and optimize on-site engagement. The Service includes, but is not limited to:
A JavaScript SDK for installation on your website ("Your Property").
An AI engine that analyzes content on Your Property to automatically generate and display contextual offers ("AI-Generated Offers").
Tools to create and manage high-intent calls to action (e.g., links to demos, trials).
A dashboard for viewing captured lead data, analytics, and performance insights.
Integrations with third-party services like CRMs and data enrichment providers.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of a company, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Your Account and Responsibilities
Account Creation: You must provide accurate and complete information when creating your account. You are responsible for the security of your account credentials and for all activities that occur under your account.
Your Content: You retain all ownership rights to the content on Your Property and the lead data you collect ("Your Data"). You grant RedScope a limited, non-exclusive license to access, process, and analyze your website content solely for the purpose of providing and improving the Service.
Compliance with Laws: You are solely responsible for ensuring that your use of the Service is compliant with all applicable laws, regulations, and privacy policies, including but not limited to GDPR, CCPA, and other data protection laws. This includes:Maintaining a clear and accurate privacy policy on Your Property.Obtaining valid consent from your website visitors for the use of cookies and other tracking technologies as required by law, including for the operation of the RedScope Service.Ensuring you have a lawful basis for collecting and processing personal data from your visitors.
Marketing & Publicity: You grant RedScope Inc. a limited, royalty-free, worldwide license to use your company's name and logo on our website and in our marketing materials for the sole purpose of identifying you as a customer. If you do not wish to grant this permission, you may opt-out by sending an email to legal@redscope.ai
4. Subscription, Billing, and Cancellation
Plans & Credits: The Service is billed on a subscription basis ("Subscription"). Our plans may operate on a credit-based system as detailed on our Pricing Page. Credits are consumed by specific actions taken by the platform (e.g., offer displays, lead conversions, data enrichments).
Billing: You must provide a valid payment method. We will bill you in advance on a recurring, periodic basis (e.g., monthly or annually). All payments are non-refundable.
Upgrades/Downgrades: You may change your subscription plan through your account settings. Upgrades will be billed immediately, while downgrades will take effect at the end of the current billing cycle.
Cancellation: You may cancel your Subscription at any time through your account dashboard. The cancellation will take effect at the end of your current billing period, and you will not be charged for the next period.
5. Acceptable Use
You agree not to use the Service:In violation of any applicable law or regulation.To infringe on the rights of others, including intellectual property rights.To distribute malware, spam, or other harmful or unsolicited content.To overload, interfere with, or disrupt the integrity or performance of the Service or its related systems.
6. Customer Data & Privacy
Ownership: You retain all rights to the data and content you submit or process through the Service (“Customer Data”).
Use: We use Customer Data solely to provide and improve the Service and as otherwise set forth in our Privacy Policy.
Third-Party Services: You may choose to integrate RedScope with third-party platforms (e.g., CRMs, analytics tools). Your use of such integrations is subject to the respective third-party terms and privacy policies.
7. Intellectual Property
Our IP: All rights, title, and interest in and to the Service (including the RedScope platform, our AI models, algorithms, and branding) are and will remain the exclusive property of RedScope Inc. and its licensors.
Your IP: You retain ownership of Your Data, including the content on Your Property and the leads you generate.
8. Beta Features
We may offer certain features as part of a beta program ("Beta Features"). These are provided “as is” with no warranties and may be modified or removed at any time at our sole discretion.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. REDSCOPE INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDSCOPE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
11. Indemnification
You agree to indemnify, defend, and hold harmless RedScope Inc., its affiliates, officers, directors, and employees from any claim, liability, loss, or expense (including reasonable attorneys’ fees) arising from your use of the Service or your violation of these Terms.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including for a violation of these Terms. Upon termination, your right to use the Service will immediately cease.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
14. Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
